Qualcomm completed its $3.92 billion all-stock acquisition of software startup Modular. The transaction officially closed on July 29. This deal directly challenges Nvidia’s dominance and its proprietary CUDA software ecosystem. Modular provides a vendor-neutral software layer that allows AI models to run across different hardware platforms without code rewrites.

Qualcomm issued 17,826,566 shares of common stock to fund the purchase. The company filed a Form 8-K and a prospectus supplement to facilitate the resale of these shares by selling stockholders.

This acquisition supports Qualcomm’s strategy to expand its AI capabilities. The move diversifies company revenue streams beyond the mobile handset market.
