Yduqs Participações S.A. and Afya Ltd. signed a definitive agreement to merge. The combined entity becomes Brazil’s largest premium higher education provider. The new company will serve approximately 1.6 million students.
Yduqs will serve as the surviving holding company. Its shares will continue trading on the B3 Novo Mercado segment.
Afya shareholders will own 69% of the combined entity. Yduqs shareholders will retain a 31% stake.
The merger aims to unlock synergies between R$2.0 billion and R$2.2 billion. This integration pairs Afya’s medical school network with Yduqs’s diversified portfolio. The transaction remains subject to shareholder and antitrust approvals.
