The Wendy’s Company confirmed it received an unsolicited, non-binding proposal from an investor group led by Trian Fund Management, L.P. The group has offered $7.35 per share in cash for all outstanding shares it does not already own. The offer values the fast-food chain at approximately $1.4 billion and represents a nearly 20% premium to the stock’s closing price on October 27, 2026.
After the announcement on October 28, Wendy’s shares rose more than 14% in after-hours trading. The company’s Board of Directors formed a committee of independent directors to evaluate the proposal.
Wendy’s said shareholders do not need to take any action at this time. The company cautioned that there is no assurance a deal will be completed. It plans to provide more details about its strategic plan during its Q3 earnings call on November 5.
