Vertex Pharmaceuticals has agreed to acquire Crinetics Pharmaceuticals for approximately $10 billion in equity value, paying $85 per share in cash. [2, 3, 4] The offer represents a 102% premium to Crinetics' closing stock price on July 6, which caused the company's shares to more than double in extended trading. [2] The deal marks a significant strategic move for Vertex, a leader in cystic fibrosis therapies, to diversify its portfolio by adding treatments for rare endocrine diseases. [1, 2]

The acquisition provides Vertex with Palsonify, an approved drug for the rare hormonal disorder acromegaly, and atumelnant, a late-stage candidate for congenital adrenal hyperplasia. [2, 6] Vertex stated that these assets could collectively generate more than $5 billion in peak annual sales, contributing immediately to its revenue growth. [2, 7] The transaction, approved by both companies' boards, is expected to be finalized in the third quarter of 2026. [1, 3]
