Voyager Technologies, Inc. plans to offer $350 million in convertible senior notes due 2032.
The private offering targets qualified institutional buyers. Initial purchasers have an option to buy an additional $52.5 million in notes.
The notes are senior, unsecured obligations. They will mature on October 15, 2032, unless converted, redeemed, or repurchased earlier.
Voyager will use the net proceeds for general corporate purposes, including potential strategic acquisitions.
The company will also fund capped call transactions. These transactions aim to reduce potential stock dilution from the notes' conversion.
The interest rate and other terms will be determined at pricing.
