UniCredit is nearing regulatory approval for its proposed takeover of Germany’s Commerzbank as of August 13, 2026. An internal European Central Bank (ECB) document shows a preliminary assessment found no grounds to object to the bid. This transaction would create one of the largest cross-border banking mergers in Europe.

The ECB expects to deliver a final decision on the merger in September or October 2026. The assessment warned that integrating the two major financial institutions would be challenging and long-lasting.

German regulator BaFin raised concerns regarding governance and execution risks associated with the deal. These regulatory concerns are not expected to stop the merger from proceeding.
