Texas Instruments announced on October 27, 2026, that it priced $2 billion in senior unsecured notes to help fund its planned acquisition of Silicon Laboratories. The offering consists of four $500 million tranches.
The notes mature between 2028 and 2036. Their interest rates range from 5.000% to 5.750%.
Texas Instruments will use the net proceeds to pay for part of the all-cash acquisition and related fees and expenses. The deal has an estimated total enterprise value of approximately $7.5 billion.
The debt offering is expected to close on November 9, 2026, and is not contingent on the acquisition closing. Texas Instruments expects the acquisition to be completed in the first half of 2027, pending regulatory approvals.
