Summit Therapeutics has proposed an amendment to its charter that would double the number of authorized common shares from 1 billion to 2 billion. Shareholders will vote on the proposal at a virtual special meeting on November 4, 2026.
The increase would ensure enough shares are available for the potential conversion of Class A Preferred Stock. The preferred stock stems from a $2 billion private placement with AstraZeneca, which closed in early October 2026.
Under the agreement, Summit must amend its charter by December 31, 2026, to accommodate the conversion. If it fails to do so, the preferred shares could become redeemable, creating a significant expense for the company.
