SES AI Corporation is asking shareholders to approve a reverse stock split to regain compliance with the New York Stock Exchange’s minimum share price requirement. The company received a notice of non-compliance on July 17, 2026, after its average closing price stayed below $1.00 for 30 consecutive trading days.
Shareholders will vote on the proposal at SES AI’s virtual annual meeting on December 10, 2026. The company has six months from the notice date to resolve the deficiency.
If approved, the reverse split would consolidate existing shares into fewer shares, which could lift the share price above the NYSE’s minimum threshold and help SES AI avoid delisting.
