Rezolve AI has received court approval for a capital reduction, a key step toward implementing its previously announced $300 million share repurchase program. The company can now complete the remaining procedural requirements to make the reduction effective. After that, it may begin buying back shares, subject to market conditions.

The company plans to fund the repurchases from legally available funds. It is not obligated to buy a specific number of shares.

Chairman and CEO Daniel M. Wagner said he believes the company’s public market valuation does not reflect its technological strength or commercial progress. He described the share repurchase program as an attractive use of capital.

Rezolve AI is also hosting an Investor Day to present its agentic commerce platform and strategy for the emerging agentic economy. The company released its US AI Visibility Study 2026, which found that many major US retailers have limited visibility to AI agents. Rezolve AI said the findings underscore a market opportunity for its platform.
