Polar Power, Inc. is holding its 2026 Annual Meeting of Stockholders today, October 14, 2026. Stockholders will vote on several proposals.
One proposal would authorize the board to enact a reverse stock split at a ratio between 1-for-3 and 1-for-20. The measure is intended primarily to help the company maintain its Nasdaq listing.
Stockholders will also vote on whether to approve the potential issuance of common stock in future non-public financings exceeding 19.99% of the outstanding shares. Approval would give the company more flexibility to raise funds but could significantly dilute current shareholders.
The meeting follows a management restructuring announced October 12, when the company appointed a new Co-CEO.
