NOVAGOLD urged shareholders to vote for all proposed resolutions at its Special Meeting on November 3, 2026. The proposals include equity plans tied to the company’s planned acquisition of the remaining stake in the Donlin Gold project and the creation of a new U.S.-domiciled parent company, NovaGold Corporation.
The company’s letter follows a recommendation by Institutional Shareholder Services (ISS) that shareholders vote against two resolutions: the 2026 Omnibus Incentive Plan and the New NOVAGOLD Employee Stock Purchase Plan. In a filing, NOVAGOLD’s Board said it “respectfully disagrees” with ISS’s recommendations and criticized the firm’s dilution model as “mechanically applied.”
The equity plans are contingent on the Donlin Gold transaction closing. Shareholders are urged to submit their votes by 10:00 a.m. Vancouver time on October 30, 2026.
