Shares of London Stock Exchange Group surged 8.3% to £9,466 on October 22 after the company paired a triple guidance upgrade with its largest acquisition since the $27 billion Refinitiv deal in 2019. The company raised its outlook for 2026 revenue and forecast organic total income growth of at least 8.0%, while simultaneously agreeing to buy credit-data specialist Octus for $3.535 billion in cash.
• The Best Quarter in Years Gave Management Confidence to Swing Big
Total income excluding recoveries reached £2,407 million, up from £2,219 million in the prior-year period, representing 8.8% organic constant-currency growth.
Markets led at +12.5%, FTSE Russell +10.2%, Risk Intelligence +9.8%, and Data & Analytics +5.2%.
The upgraded guidance puts LSEG on track to deliver its strongest organic annual revenue growth since 2018 and roughly 400 basis points of cumulative EBITDA margin expansion over the last three years. For shareholders, that means the core business is throwing off enough profit improvement to partly self-fund deal-making.
• A 12x Revenue Price for Octus Is a Big Bet on Private Credit
Octus is expected to generate over $300 million in revenue in 2026, with strong double-digit growth and an adjusted EBITDA margin of around 40%.
The deal values Octus at about 12 times 2026 revenue.
The transaction is expected to be immediately positive for LSEG's Data & Analytics organic revenue growth and additive to guidance for group organic subscription revenue growth of around 7% in 2027.
There is no change to LSEG's medium-term margin guidance, and the deal will be neutral to adjusted earnings per share in its first full year, then add to profits thereafter.
• Activist Pressure and AI Fears Loom Behind the Optimism
LSEG has been under pressure from activist investor Elliott, which is pushing for portfolio changes, as AI affects how investors and businesses trade and use data.
LSEG cited confidential credit data that AI models cannot obtain as a strategic rationale — essentially arguing that Octus's hard-to-replicate datasets are a natural defense. Meanwhile, 95% of LSEG's top 200 customers are using its AI products , a stat management hopes will ease concerns that cheaper AI tools could undercut its terminals.
• Debt Will Rise, but Cash Flow Cushions the Blow
LSEG plans to finance the transaction through external debt, with closing expected in the first half of 2027.
Free cash flow guidance was lifted to at least £2.8 billion , and management said it has capacity for a further £1 billion to £1.5 billion of spending through 2027, which would take leverage to around the top of its target range. Investors will need to watch whether the promised earnings boost materializes before that debt ceiling starts to pinch.
