Shares cratered as Laser Photonics unveiled a deeply discounted stock sale that could nearly double its share count, raising existential questions about whether the Orlando-based industrial laser maker can convert fresh cash into real revenue before it runs out of runway.
A $7.9 Million Lifeline Priced Below Market — and It Comes With Strings. The company priced a public offering of 10.5 million shares at $0.75 each, bundled with two sets of warrants.
Each share comes with a Series B-1 warrant (five-year expiry) and a Series B-2 warrant (two-year expiry), both exercisable immediately at $0.75. That means up to 21 million additional shares could hit the market if every warrant is exercised — on top of the 10.5 million primary shares. Gross proceeds are expected to be roughly $7.9 million before fees. With shares trading at $0.60, even the offering price is now above the market, giving new investors an instant paper loss and signaling weak demand.
Serial Dilution Is Becoming the Business Model. This is not the company's first round of share-fueled fundraising in 2026. In April, Laser Photonics raised about $4 million through warrant exercises at $0.70 per share.
In July, it raised another $2.5 million by inducing warrant holders to exercise at $0.975.
Total shares outstanding have already swelled 58% in the past year , and as of late July, the count stood at roughly 47.6 million shares. If the current offering and all warrants convert, the total could approach 80 million — meaning each existing share's claim on the company shrinks dramatically.
The Cash Doesn't Match the Burn. Laser Photonics carries just $1.63 million in cash against $5.79 million in debt.
Over the past twelve months, operating cash flow was negative $5.2 million.
Q2 2026 net sales were $1.8 million — down 30% year-over-year — while net loss widened to $3.3 million. Even the $7.9 million raised here buys roughly 18 months of cash burn at recent rates, assuming no further deterioration.
Defense Buzz Hasn't Translated to Sustainable Revenue. The company says proceeds will fund R&D, acquisitions, and working capital. Promising defense demos — including an anti-drone system being evaluated by the U.S. military — have generated headlines and a 95%-plus tracking success rate in field tests , but quarterly sales remain volatile, with Q1 2026 revenue just $0.9 million versus $2.3 million a year earlier. Until defense contracts convert to binding orders, shareholders are funding a research-stage company through relentless dilution at ever-lower prices — a trade that has destroyed 57% of stock value in the past week alone.
