The Reserve Bank of India (RBI) rejected an application from Tata Sons to surrender its registration as a non-banking financial company (NBFC). This ruling requires the Tata Group's primary holding company to adhere to regulations for upper-layer NBFCs.
Tata Sons must now list on public stock exchanges to comply with these regulatory frameworks. The company originally applied to deregister as a Core Investment Company (CIC) in March 2024.
The conglomerate restructured its debt to become net cash positive prior to that application. This move was widely viewed as an attempt to bypass the mandatory listing requirement for systemically important entities.
The rejection compels Tata Sons to proceed with what is expected to be one of the largest initial public offerings in Indian history. The decision underscores the RBI's strict oversight of financial entities it deems critical to the national economy.
