Aquestive Licenses U.S. Rights for LIBERVANT to Eton Pharma in $57.5M Deal

Aquestive Therapeutics, Inc. (AQST) has entered into an exclusive license agreement with Eton Pharmaceuticals, Inc. (Eton) for the U.S. commercialization of LIBERVANT® (diazepam) buccal film, a treatment for seizure clusters in epilepsy patients. Aquestive will receive an upfront payment and is eligible for future milestone payments and royalties.

• Financial Terms: The agreement includes a $10.0 million upfront payment to Aquestive, with the potential for up to $47.5 million in additional regulatory and commercial milestone payments. Aquestive will also receive mid-teens percentage royalties on annual net sales.
• Supply Agreement: Aquestive will serve as the exclusive manufacturer and supplier of LIBERVANT to Eton under a separate supply agreement with an initial term of 20 years.
• Product Status: LIBERVANT has received tentative FDA approval. The anticipated commercial launch is April 2027, subject to final FDA approval after a competitor's orphan drug exclusivity expires in January 2027.
